Terms of Use

1. Scope

These Terms govern your access to and use of the ILSS platform (the "Service"), available at ilss.co.za and its subdomains. By accessing the Service you agree to these Terms. If you do not agree, do not use the Service.

If your access is granted through a customer of ILSS (e.g. the customer), the contract between ILSS and that customer governs the provision of the Service to you. Where these Terms conflict with that contract for users of the customer's tenant, the customer contract prevails.

2. Eligibility

The Service is a private B2B platform. Accounts are provisioned only by authorised administrators of an ILSS customer. You may not attempt to create or use an account that has not been issued to you.

3. Acceptable use

You agree not to:

  • access or attempt to access data, accounts or tenants that are not your own;
  • probe, scan or test the vulnerability of the Service except under our published responsible-disclosure programme — see the security page;
  • upload malicious code, conduct denial-of-service attacks, or interfere with another user's lawful use of the Service;
  • use the Service for any unlawful purpose, including any breach of South African export-control, sanctions, anti-corruption or data-protection law;
  • scrape, automate access to, or copy non-public data except via API keys issued to you with appropriate scope;
  • reverse-engineer, decompile or disassemble the Service except to the extent permitted by mandatory law.

4. Your account

You are responsible for safeguarding your credentials and for all activity under your account. Notify security@ilss.co.za immediately if you suspect your account has been compromised. Multi-factor authentication is strongly recommended and may be required by your customer.

5. Your data

Data you submit to the Service remains the property of your organisation. ILSS processes that data in accordance with the Privacy Policy and any applicable customer contract. ILSS does not access customer data except as required to provide the Service, respond to support requests, comply with legal obligations or protect the Service from abuse.

6. Service availability

ILSS uses commercially reasonable efforts to keep the Service available. The Service is provided on an "as is" and "as available" basis. Specific availability commitments, if any, are set out in the customer contract.

7. Intellectual property

The Service, including all software, designs, marks, documentation and content created by ILSS, is the property of ILSS and its licensors and is protected by South African and international intellectual-property law. These Terms do not transfer any ILSS intellectual property to you.

8. Third-party services

The Service relies on third-party infrastructure including Cloudflare for hosting, edge networking and storage. Use of those services is governed by their own terms; ILSS is not liable for the acts or omissions of third-party providers beyond what is required by law.

9. Indemnity

You agree to indemnify and hold harmless ILSS, its officers, employees and contractors from any claim, loss, liability or expense (including reasonable legal fees) arising from your breach of these Terms or unlawful use of the Service.

10. Limitation of liability

To the maximum extent permitted by law, ILSS is not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising from your use of the Service. Nothing in these Terms limits liability that cannot be limited under South African law, including under the Consumer Protection Act, 68 of 2008, where it applies.

11. Suspension and termination

ILSS may suspend or terminate access to the Service, in whole or in part, where required to investigate suspected abuse, security incidents, breach of these Terms or where required by law. Account access is, in any case, contingent on the underlying customer relationship remaining in good standing.

12. Changes

ILSS may amend these Terms from time to time. Material changes will be posted to this URL and the "Last updated" date will be revised. Continued use of the Service after a change constitutes acceptance.

13. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of South Africa. The parties submit to the exclusive jurisdiction of the South African courts, save that ILSS may bring proceedings in any jurisdiction where you do business or hold assets.
